Terms & Conditions

1. Who you are contracting with

These Terms & Conditions ("Terms") are a binding agreement between you and CTR Factor Non-Profit Alliance, a 501(c)(3) nonprofit organization operating CTR Factor Debate Academy ("we", "us", "our"). By using our website, registering for a program, donating, or purchasing a session, you agree to these Terms.

2. Eligibility and accounts

Programs serve students; registrations and purchases must be submitted by a parent, guardian, or an individual of legal age with authority to enter this agreement. You agree to provide accurate information, keep it current, and safeguard any account credentials you create.

3. Acceptable use

You agree not to misuse the site or services, including:

  • Unlawful, fraudulent, or abusive activity;
  • Infringing intellectual property or privacy rights;
  • Interfering with security (malware, probing, scraping, automated access);
  • Spam or harassment of staff, students, or other families.

4. Intellectual property

All website content, curriculum, materials, branding, and software are owned by CTR Factor Non-Profit Alliance or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the site and enrolled materials for personal, non-commercial program participation. You may not reproduce, resell, redistribute, or reverse engineer any materials.

5. Payments and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment terms, billing, taxes, cancellations, and refunds are governed by Paddle's Buyer Terms. Recurring monthly donations renew automatically until cancelled through the customer portal link provided in your receipts.

7. Service availability and warranties

We work hard to keep our site and programs available, but we do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.

8. Limitation of liability

To the fullest extent permitted by law, our aggregate liability for any claim related to these Terms or our services is limited to the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where the law forbids exclusion.

9. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious violations of our policies. You may stop using the site at any time; cancellation of recurring donations is handled through the Paddle customer portal.

10. Indemnification

You agree to indemnify and hold harmless CTR Factor Non-Profit Alliance from claims arising out of your unlawful use of the service, your violation of these Terms, or content you submit.

11. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of law principles. Disputes will be brought in the state or federal courts located in Florida.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the site after changes constitutes acceptance.
